Hubalot Terms of Service

1. Overview

Hubalot is a multi-AI productivity platform offering access to AI tools for chat, research, coding, image, voice, music, and video generation. By using Hubalot, you agree to be bound by these Terms, as well as our Privacy Policy.

If you do not agree, do not use Hubalot.

2. User Accounts & Eligibility

You must be at least 18 years old or have permission from a parent/guardian. You agree to provide accurate registration information and keep your login credentials secure. You're responsible for all activity under your account.

3. Subscriptions & Payment

Hubalot offers the following plans:

• Free Plan: $0/month – Limited token allocation for testing purposes
• Pro Plan: $20/month or $200/year
• Elite Plan: $30/month or $300/year
• Video Add-On: Sold separately in $10 credit increments

3.1 Pricing Structure

All paid plans are flat-rate with no per-token or usage-based fees (except for video add-ons). You agree to recurring billing unless cancelled. Payments are non-refundable.

3.2 Plan Features & Token Allocations

Free Plan:

• Access to all AI tools with a limited monthly token allocation designed for testing and evaluation
• 1 GB storage
• Enhanced Memory system access
• AUTO mode functionality
• Usage is blocked upon reaching token limit until the next monthly renewal or upgrade

Pro Plan ($20/month):

• Unlimited AI tool usage with intelligent fallback protection
• Premium AI Tools with standard monthly token allocation
• 10 GB storage
• Enhanced Memory system
• AUTO mode and model switching
• Fallback AI models activate when premium token thresholds are reached

Elite Plan ($30/month):

• Unlimited AI tool usage with intelligent fallback protection
• Premium AI Tools with double the monthly token allocation of Pro (2× token capacity)
• 50 GB storage
• Enhanced Memory system with priority processing
• ENHANCED AUTO mode (includes Premium AI Tools)
• Advanced automation features
• Fallback AI models activate when premium token thresholds are reached

3.3 Token Usage & Intelligent Fallback System

Token Allocation Philosophy:

Hubalot provides "truly unlimited" access while maintaining system integrity and cost sustainability through an intelligent fallback mechanism.

How It Works:

1. Token Thresholds: Each membership tier has defined monthly token allocations for premium AI models (GPT-4, Claude Opus, Gemini Ultra, etc.)
2. Fallback Activation: When you reach your tier's premium token threshold during a billing cycle, Hubalot automatically transitions to fallback AI models (such as GPT 5 Nano or Gemini Flash, or other cost-efficient alternatives) to ensure uninterrupted service
3. Threshold Reset: Your premium token allocation replenishes automatically at your monthly renewal date, or immediately upon upgrading to a higher tier
4. Elite Advantage: Elite members receive twice the premium token allocation of Pro members (2× capacity) before fallback models engage, providing substantially more access to top-tier AI models
5. Transparency: You will receive notifications when approaching and reaching token thresholds, with clear indicators showing which AI model tier is currently active
6. No Hard Limits: Unlike competitors, you are never blocked from using Hubalot—fallback models ensure continuous productivity

Fair Use Protection:

This system protects against token abuse, ensures platform stability for all users, and maintains sustainable operational costs while delivering exceptional value. Hubalot reserves the right to investigate and address patterns of extreme usage that may indicate system abuse or automated scraping.

4. Data Privacy & Enhanced Memory System

4.1 Your Data Ownership & Control

You retain full ownership and control of all data you upload, create, or store on Hubalot. We are committed to protecting your privacy and maintaining the confidentiality of your information.

4.2 Third-Party Data Sharing

Hubalot does not sell, rent, or share your personal data or content with third parties for marketing, advertising, or any purpose outside of delivering our core services. Your data is yours alone.

4.3 Enhanced Memory System Consent

By using Hubalot's services, you explicitly consent to and authorize the following:

Memory System Processing:

Hubalot's Enhanced Memory system analyzes and indexes your:

• Uploaded documents and files
• User profile information
• Chat history and conversation context
• Project data and workspace content

AI Model Data Sharing:

When you submit a prompt or request to an AI tool, you authorize Hubalot to:

• Extract relevant context from your Enhanced Memory
• Share pertinent information from your documents, profile, and conversation history with the specific AI model you've selected
• Transmit necessary data to third-party AI providers (OpenAI, Anthropic, Google, xAI, etc.) to process your requests and generate responses

AUTO Mode Consent:

When you activate AUTO or ENHANCED AUTO mode, you authorize Hubalot to:

• Automatically select the most appropriate AI model for your request
• Share your Enhanced Memory context and relevant data with whichever AI provider Hubalot determines is optimal for your specific prompt
• Route your requests across multiple AI providers as needed to deliver the best results

4.4 Data Security & Encryption

All data transmitted between you and Hubalot, and between Hubalot and third-party AI providers, is encrypted using industry-standard protocols. Your Enhanced Memory data is stored securely and access is restricted to authorized systems necessary for service delivery.

4.5 Data Deletion & Account Control

You may delete specific documents, conversations, or your entire account at any time through your account settings. Upon account deletion, your data will be permanently removed from our systems within 30 days, except where retention is required by law.

4.6 Third-Party AI Provider Policies

When your data is shared with third-party AI providers (OpenAI, Anthropic, Google, xAI, etc.) to process your requests, those providers' own privacy policies and terms of service also apply. Hubalot selects providers with strong privacy commitments, but we encourage you to review their policies independently. We do not control third-party data practices beyond our contractual agreements with them.

5. Acceptable Use

You agree not to:

• Violate any laws or third-party rights
• Use Hubalot to generate or distribute illegal or harmful content
• Reverse engineer or bypass security measures
• Scrape, spam, or overload our systems
• Misrepresent AI-generated content as human when prohibited by law or regulation
• Share account credentials or attempt to circumvent token allocation systems
• Engage in automated usage patterns designed to abuse or exploit the fallback system

We reserve the right to suspend or terminate accounts violating this policy, with or without notice.

6. Intellectual Property

All rights in the Hubalot platform, content, branding, and proprietary tools belong to Hubalot, Inc.

You retain full ownership rights to all content you upload, create, or generate using Hubalot. However, you grant Hubalot a limited, non-exclusive, worldwide license to use, store, and process your content solely for the purpose of delivering and improving our services.

AI-generated content created through Hubalot is owned by you, subject to the terms and limitations of the underlying AI providers.

7. AI Content Disclaimer

AI-generated content may contain errors, inaccuracies, bias, or misinformation. You use AI outputs at your own risk.

Hubalot does not guarantee the accuracy, reliability, completeness, or fitness for any particular purpose of AI-generated content. You are solely responsible for:

• Verifying the accuracy of AI outputs before use
• Ensuring compliance with applicable laws and regulations
• Determining the appropriateness of AI-generated content for your intended purpose
• Any consequences arising from reliance on AI-generated information

Fallback AI models may produce different quality outputs than premium models. While we strive to maintain high standards across all model tiers, fallback models may have reduced capabilities in certain areas.

8. Termination

8.1 User Termination

You may cancel your subscription at any time via your account settings. Cancellation will take effect at the end of your current billing period. No refunds will be issued for partial months or unused token allocations.

8.2 Hubalot Termination

Hubalot may terminate or suspend your access to the service, with or without notice, for:

• Violations of these Terms
• System abuse or exploitation of the fallback mechanism
• Fraudulent payment activity
• Illegal use of the platform
• Extended periods of inactivity (Free accounts only)

Upon termination, your access to the platform and all associated data will be revoked. You may request a data export within 30 days of termination by contacting support@hubalot.com.

9. Limitation of Liability

To the fullest extent permitted by law, Hubalot shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Service interruptions, including fallback model transitions
• Inaccuracies or errors in AI-generated content
• Third-party AI provider outages or performance issues
• Unauthorized access to or alteration of your transmissions or data

Total direct liability shall not exceed the amount paid by you to Hubalot in the last six (6) months.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Hubalot, Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the platform
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights
• Any content you upload, create, or share through Hubalot
• Your use of AI-generated content in violation of applicable laws

11. Modifications

Hubalot reserves the right to modify, update, or replace these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on our website with a new "Last Updated" date
• Sending email notification to your registered email address (for significant changes)
• Displaying an in-app notification upon your next login

Continued use of the platform after changes take effect constitutes your acceptance of the new Terms. If you do not agree to modified Terms, you must discontinue use of Hubalot.

12. Dispute Resolution & Governing Law

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

12.2 Arbitration Agreement

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of Hubalot shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, rather than in court, except that you may assert claims in small claims court if they qualify.

12.3 Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, consolidated action, or representative action.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by Hubalot, constitute the entire agreement between you and Hubalot regarding your use of the service.

16. Acknowledgment

By creating an account, accessing, or using Hubalot, you acknowledge that:

1. You have read and understood these Terms of Service
2. You agree to be bound by these Terms and our Privacy Policy
3. You consent to the Enhanced Memory system processing and AI model data sharing described herein
4. You understand the token allocation and fallback system for your membership tier
5. You are authorized to agree to these Terms (either as an adult or with parental/guardian consent)
